Description

This unit examines rules and regulations governing Australian corporations. It aims to familiarise students with amongst others the concept of corporate governance and its practical relevance in the corporate sector particularly in light of recent national and international corporate failures which impacts the society.

Prerequisite Rule

Students must have passed LAW1212 and LAW1218.

Learning Outcomes

On completion of this unit students should be able to:

  1. Apply knowledge of legislations applicable to the relevant business organisations in Australia.
  2. Evaluate the Corporations Act 2001 (Cth) and relevant case laws applicable to corporations.
  3. Use skills and knowledge to solve corporate challenges of relevance to the business environment.
  4. Explain the roles, functions and duties of director, shareholders/members and other stakeholders.

  7. Directors Duties – Duty to Avoid Conflict of Interest and Disclosure
  8. Members Remedies
  9. Meetings
  10. Share Capital and Fund Raising
  11. External Administration
  12. Liquidation
  13. Liquidation: an overview of the Winding Up of Corporations.
  14. Officers: the appointment, termination and nature of the Offices in a Corporation.
